Terms of Service

By accessing our website, requesting a quotation, placing an order, or receiving any products or services from Molytech Industrial Co., Ltd., you confirm that you have the legal authority to enter into this agreement on behalf of yourself or your organization, and that you accept these Terms of Service in full.

If you do not agree with any part of these terms, you must refrain from placing orders or using our services. These terms apply to all transactions, whether conducted online, by email, telephone, or in person.

These terms apply to all customers, including manufacturers, end users, maintenance and engineering teams, distributors, traders, system integrators, and contractors.

Molytech specializes in the manufacture and supply of conveyor system components, including but not limited to: plastic chain plates, modular belts, industrial belts, timing belts, sprockets, brackets, guide rails, side guards, wear strips, and related accessories. We also offer conveyor equipment including chain plate conveyors, modular belt conveyors, belt conveyors, and screw conveyors.

All product specifications, dimensions, materials, and performance data provided in catalogs, datasheets, or quotations are subject to change without prior notice. Molytech reserves the right to make design improvements that do not materially affect product performance or compatibility.

Product images on our website or marketing materials are for illustrative purposes only. Actual products may vary slightly in appearance while maintaining functional equivalence.

All orders must be submitted in writing via purchase order, email confirmation, or signed sales contract. Verbal orders are not binding until confirmed in writing by Molytech. An order is deemed accepted only upon issuance of a written order acknowledgment or proforma invoice by Molytech.

All prices are quoted in USD unless otherwise specified. Prices are exclusive of applicable taxes, duties, and shipping charges unless explicitly stated. Molytech reserves the right to adjust pricing due to significant changes in raw material costs, currency fluctuations, or other market conditions, with reasonable prior notice.

Late payments will be subject to an interest charge of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) on the outstanding balance. Molytech reserves the right to suspend or cancel pending orders for customers with overdue accounts.

Molytech will use commercially reasonable efforts to meet quoted delivery dates. Delivery timelines are estimates and not guarantees. Standard in-stock components are typically dispatched within 3-7 business days of payment confirmation. Custom or non-standard components may require 15-25 business days for production.

Unless otherwise agreed, all shipments are made Ex Works (EXW) Molytech's facility. Risk of loss or damage to products passes to the customer upon delivery to the carrier. Molytech can arrange freight and insurance on the customer's behalf as a value-added service; associated costs will be invoiced separately.

Molytech supports FCL, LCL, air freight, and express courier shipping modes. The customer is responsible for ensuring compliance with all applicable import regulations, duties, and customs requirements in their country of destination. Molytech will provide standard export documentation including commercial invoices, packing lists, and certificates of origin upon request.

Molytech shall not be liable for delays caused by force majeure events, including but not limited to natural disasters, pandemics, labor disputes, government actions, or transportation disruptions beyond our reasonable control.

Molytech warrants that all products manufactured and supplied by us are free from defects in materials and workmanship under normal use and service conditions for a period of twelve (12) months from the date of delivery, unless otherwise specified in the product documentation or sales contract.

This warranty is the sole and exclusive warranty provided by Molytech. All other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, are expressly disclaimed to the fullest extent permitted by applicable law.

Claims for defective products, shortages, or shipping damage must be submitted to Molytech in writing within 14 calendar days of the delivery date. Claims submitted after this period may not be accepted. All claims must include: order number, detailed description of the issue, photographic evidence, and the quantity of affected items.

Returns are accepted only with prior written authorization (Return Merchandise Authorization -- RMA) issued by Molytech. Unauthorized returns will be refused and returned to the sender at their expense. Returned products must be in original or equivalent packaging and must not have been installed, used, or modified.

Upon verification of a valid warranty claim, Molytech will, at its sole discretion, either: (a) replace the defective product, (b) issue a credit note for future purchases, or (c) provide a partial or full refund. Molytech is not responsible for labor costs, downtime losses, or consequential damages arising from product defects.

Custom-manufactured and OEM/ODM products are non-returnable unless the defect is attributable to Molytech's manufacturing error, as verified by our quality control team.

All intellectual property rights in Molytech's products, designs, engineering drawings, technical documentation, trademarks, and website content are and shall remain the exclusive property of Molytech Industrial Co., Ltd. or its licensors. Nothing in these terms grants the customer any rights to use Molytech's intellectual property beyond what is strictly necessary for the use of purchased products.

The customer may not reproduce, distribute, publicly display, reverse engineer, or create derivative works based on any Molytech product designs or technical materials without prior written consent from Molytech.

For OEM/ODM projects where the customer provides proprietary designs, the customer warrants that they hold full rights to those designs and that their use does not infringe any third-party intellectual property. The customer agrees to indemnify Molytech against any claims arising from the manufacture of customer-provided designs.

Both parties may disclose confidential information to each other in the course of their business relationship, including but not limited to: technical specifications, pricing, production processes, customer data, and business strategies. Each party agrees to hold such information in strict confidence and not to disclose it to any third party without prior written consent.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order.

Molytech will not use customer-provided designs, drawings, or specifications for any purpose other than fulfilling the customer's order without explicit written permission.

In no event shall Molytech be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of production, loss of profits, business interruption, equipment damage caused by component failure, or any other commercial losses, even if Molytech has been advised of the possibility of such damages.

The customer is solely responsible for verifying the suitability of Molytech's products for their specific application, operating environment, and regulatory requirements. Molytech's technical recommendations are provided in good faith but do not constitute a guarantee of fitness for any particular purpose.

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. For international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where both parties agree in writing.

In the event of any dispute, controversy, or claim arising out of or relating to these terms, or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the arbitration conducted in English and the seat of arbitration in Shanghai, China. The arbitration award shall be final and binding on both parties.

Molytech reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our official website with a revised effective date. For existing customers with active contracts, amendments will take effect upon written notification or at the start of the next contract renewal period.

Continued use of Molytech's products or services after the effective date of any amendment constitutes acceptance of the revised terms. We encourage customers to review these terms periodically.

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

These Terms of Service, together with any applicable sales contracts, purchase orders, and product specifications, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior negotiations, representations, and agreements.
